Terms of Service

Acceptance of terms

These Terms of Service (these "Terms") are entered into between Matrix Origins (Shenzhen) Information Technology Co., Ltd. and its subsidiaries ("Matrix Origins", "we", "us", "our") and the users who register for and use MatrixOne Intelligence ("you"). They apply to your registration for and use of the MatrixOne Intelligence product service ("MatrixOne Intelligence" or the "Service").

Please read and accept these Terms in full before registering for and using MatrixOne Intelligence. You are bound by these Terms once you tick "Terms of Service" on the registration page; if you do not accept them, please do not use the Service.

Before activating or using a paid service, you should read the applicable billing description and service rules. The parties may also enter into a separate agreement.

User registration and account management

  1. When registering a MatrixOne Intelligence account, you should provide the information required by the registration page. The information and verification required for each registration method is as displayed on the registration page.
  2. You warrant that you are a natural person with full capacity for civil conduct, or a legal person or unincorporated organisation duly established and validly existing under the law. Please do not register accounts using a registration bot or any similar automated means.
  3. As required by the Cybersecurity Law of the People's Republic of China, the Interim Measures for the Administration of Generative Artificial Intelligence Services and other applicable laws and regulations, you must complete real-name verification as prompted before using model calls, API key issuance, Credit top-up and use, and in any other scenario we designate in accordance with the law. The categories of information required and the verification method are as displayed on the verification page, and we may adjust them in line with legal requirements or business needs. You must ensure that the information you provide for verification is true, accurate and complete, and update it promptly when it changes. If you do not complete verification, fail verification, or provide false information or impersonate another person, we may restrict or withhold the corresponding features, and you bear the resulting liabilities and losses. Where verification is carried out in the name of a company or other organisation, the person handling it must ensure that they are authorised by that entity.
  4. Please keep your account password safe. If you lose it, you can recover it through "Forgot password". Losses caused by disclosure of your password are borne by you. Your account may be used only by you or the organisation you belong to, and must not be transferred, lent, leased, sold or otherwise made available to others; losses caused by your breach of this clause are borne by you.
  5. You may stop using the Service at any time, and may apply to deregister your account through the in-product deregistration entry or at [email protected]. After deregistration, we will handle your personal information as set out in the Privacy Policy and your business data as set out in these Terms on data retention. Before applying, please back up important data and settle any fees already incurred; unconsumed purchased Credits are refunded as set out in clause 3 of "Fees and payment".

Product services and support

  1. MatrixOne Intelligence consists of three parts — AI Studio, MatrixOne and Genesis — which together provide an AI application foundation for enterprises:
    • AI Studio: provides data ingestion and processing, workflow orchestration, knowledge bases and agents, organised as workspaces;
    • MatrixOne: provides database, data storage and query analytics capabilities, and is the data engine of MatrixOne Intelligence;
    • Genesis: provides model services and call interfaces, and can be integrated into your own systems through an API key.
  2. The specific features and resources available to you are those your account has actually activated and is entitled to use. Features in testing, preview or invite-only stages may change and are not covered by the service commitments applicable to generally available versions.
  3. You should keep access credentials such as API keys safe; losses caused by inadequate safekeeping of credentials are borne by you. You must not resell or sublease the Service, and must not reverse-engineer it, scrape it maliciously, or otherwise obtain the service or data by unauthorised means. We may set and adjust reasonable call-rate limits based on system load, and calls exceeding those limits may be restricted or refused.
  4. We may add, modify, restrict or discontinue certain features in light of technical developments, business adjustments or compliance requirements. We will notify you in advance of adjustments that may have a material impact on you.
  5. After the service expires, is deleted or you stop using it, the retention period, recovery method and deletion time for data are as stated in the product documentation; data past that period will be deleted and cannot be recovered, so please back up important data in good time.
  6. You can contact us through the channels published on our website or in the product. The scope of support and response methods are as stated in the product documentation, in the paid service you have activated, or as otherwise agreed between the parties.

Fees and payment

  1. Some features and resources of MatrixOne Intelligence are provided free of charge; the rest are paid services. Paid services are metered and settled in Credits. The scope and rates are as set out in the in-product billing description or in the orders and agreements otherwise agreed between the parties.
  2. Credits can be obtained by purchase, and we may also grant them to you in trials, promotions and similar situations. Fees incurred from your use of paid services are deducted from your Credit balance. Because usage metering and settlement are subject to delay, the balance may not yet reflect all fees incurred and may become negative. Where Credits are insufficient or the balance is negative, we may restrict or suspend paid services; suspension or termination of the Service does not release you from your obligation to settle fees already incurred.
  3. Purchased Credits: you may request a refund of unconsumed purchased Credits at any time, and we will refund them through the original payment channel after deducting the fees already incurred. Where you are unable to continue using the Service for reasons attributable to us — including our termination of these Terms, our discontinuation of the relevant service, or your ceasing to use the Service because you do not accept our adjusted rates or amended Terms — unconsumed purchased Credits are also refunded in the same way. Granted Credits: non-refundable and non-withdrawable; their scope of use and validity period are as explained to you when granted. Credits cannot currently be transferred between accounts.
  4. If we adjust rates or billing rules, we will notify you in advance of the changes and their effective time. Adjustments do not apply retroactively to use that occurred before they take effect, and you may stop using the affected services before they take effect.
  5. Purchased Credits do not expire. If we set a validity period for purchased Credits in future, we will publish it in advance, and it will apply only to Credits purchased after that publication takes effect.
  6. You may request an invoice for the fees you have actually paid; the invoicing process and the information required are as stated in the product.

Limitation of liability and disclaimers

  1. You must use MatrixOne Intelligence in compliance with applicable laws and regulations, and you are responsible for the data and content you submit, upload or process, warranting that it is lawfully sourced and does not infringe the rights of others. If you breach this, you bear all resulting losses and liabilities; we are entitled to suspend or terminate the Service to you immediately and are not liable for any losses so caused.
  2. We make no warranty that:
    • a. any service will be uninterrupted, timely, secure or error-free;
    • b. the results obtainable from using any service will be accurate, complete or reliable;
    • c. the services, content or materials will meet your particular needs or expectations;
    • d. any errors in the software will be corrected, or that the services and content are free of viruses.
  3. MatrixOne Intelligence includes content generated by artificial intelligence models. Such content may contain errors or be inconsistent with fact, does not constitute professional advice or a basis for decisions, and you should verify it yourself and take responsibility for the resulting decisions. Some model services are provided by third parties, whose availability, changes or discontinuation are outside our control. If you integrate your own model, you are responsible for its output and compliance.
  4. As required by the Measures for Labelling Artificial Intelligence-Generated Synthetic Content and other applicable regulations, we may add explicit or implicit labels to AI-generated synthetic content. You must not delete, alter, forge or conceal such labels; if you publish or distribute the generated content externally, you must retain the relevant labels as required by law, and must not use the generated content for fraud, misdirection or other unlawful purposes.
  5. We are not liable for losses caused by the following, though we will do our best to assist with remediation:
    • a. force majeure, including but not limited to natural disasters, government acts, the enactment or adjustment of laws and regulations, strikes and civil unrest;
    • b. causes attributable to the underlying carrier, network security incidents, or other events beyond the parties' reasonable control;
    • c. your improper operation, or faults in your equipment, software, systems or communication lines;
    • d. other circumstances not attributable to us.
  6. Neither party is liable for indirect, incidental, special or punitive damages, including loss of profits, loss of data or business interruption.

Changes to and termination of the Service

  1. These Terms take effect on the date you accept them or begin using MatrixOne Intelligence, and remain in force until terminated as provided in these Terms.
  2. We will suspend or terminate the agreement in the following circumstances:
    • a. your Credit balance is insufficient or negative and you have not topped it up as required;
    • b. we have reasonable grounds to believe you have breached these Terms or laws and regulations;
    • c. infringement or violation of third-party rights (including intellectual property rights).
  3. We carry out maintenance and updates on MatrixOne Intelligence from time to time, which may suspend the Service. For planned maintenance we will notify you in advance; for emergency maintenance advance notice may not be possible. We are not liable to you for this.
  4. You may terminate these Terms at any time by ceasing to use the Service or by deregistering your account under clause 5 of "User registration and account management". We may terminate these Terms at our discretion, subject to thirty (30) days' prior notice to you; on termination, unconsumed purchased Credits are refunded as set out in clause 3 of "Fees and payment".
  5. We may amend these Terms; amendments will be published on our website and take effect on the date of publication. For material changes — such as those affecting rates or the allocation of liability — we will notify you at least seven (7) days in advance by prominent means such as a website announcement, in-product message or email. Your continued use is deemed acceptance of the amended Terms; if you do not accept them, you should stop using the Service.

Code of user conduct

  1. When using MatrixOne Intelligence you must comply with applicable laws, regulations and service rules, and must not engage in conduct including but not limited to:
    • a. violating the Constitution, endangering national security, harming national interests, disclosing state secrets, subverting state power or undermining national unity;
    • b. inciting ethnic hatred, undermining ethnic unity, undermining the state's religious policy, or promoting cults and feudal superstition;
    • c. spreading rumours, obscenity, pornography, gambling or violence, or abetting crime, disrupting public order or undermining social stability;
    • d. insulting or defaming others, or infringing the lawful rights and interests of others.
  2. When using MatrixOne Intelligence you must maintain internet order and security, and must not engage in conduct including but not limited to:
    • a. publishing or distributing spam;
    • b. unlawful or unauthorised access, misappropriation, interference or monitoring;
    • c. damaging or attempting to damage network security, including but not limited to viruses, malicious code, malicious scanning of servers, unlawful intrusion into systems and unlawful acquisition of data;
    • d. changing or attempting to change the system configuration and system security of MatrixOne Intelligence, or damaging or disrupting the normal use of MatrixOne Intelligence.
  3. You must not use the Service to engage in abuse of artificial intelligence, including but not limited to: generating or distributing information prohibited by laws and regulations, bypassing or attacking model safety mechanisms, unlawfully obtaining model parameters or training data, and using generated content for fraud, misdirection or similar purposes.

Governing law and dispute resolution

  1. These Terms are governed by the laws of the People's Republic of China.
  2. Any dispute arising out of these Terms or MatrixOne Intelligence shall be resolved through negotiation between the parties; failing which, either party may bring proceedings before the people's court at the company's location.
